Clark Courses is not a certification body. It is a context layer: the professional education that helps people understand what they are doing, why it matters, and how it fits into the larger system they are working within.

CLARK's core business is precision electronics manufacturing, delivered through a node network anchored in Hamilton and expanding along the southern Ontario–Buffalo, NY corridor. That manufacturing operation gives Clark Courses something that most training providers cannot offer: proximity to a live facility, access to real boards and components, and instructors whose knowledge comes from direct production experience rather than curriculum alone.

Clark Courses generates revenue independently of CLARK's manufacturing contracts. A client who sends engineers through a Clark Courses cohort is not required to become a manufacturing customer, and a manufacturing client is not required to enroll their workforce in Clark Courses. The two lines of business are complementary but commercially separate. This separation is intentional — it preserves the integrity of the training offering and allows Clark Courses to serve competitors, adjacent industries, and institutional partners without creating conflicts of interest.

**Technicians entering the industry.** People beginning careers as assembly technicians, inspection operators, or production associates often arrive with mechanical aptitude and general technical interest but no specific knowledge of electronics manufacturing processes, standards, or vocabulary. Clark Courses Foundations-level content provides the grounding they need to become productive quickly and to understand the standards they will be asked to meet.

**Engineers moving into manufacturing roles.** Electrical and mechanical engineers transitioning from design or R&D roles into NPI, process engineering, or manufacturing engineering positions frequently have strong technical foundations but limited exposure to production floor realities — defect modes, process control, yield economics, and DFM constraints. Clark Courses Professional Practice and Advanced Topics content bridges that gap.

**Quality personnel needing broader context.** Quality technicians and inspectors may have deep knowledge of specific workmanship standards without a systemic understanding of how those standards connect to customer requirements, industry verticals, and regulatory frameworks. ## 3. Delivery Model

### In-Person Delivery at the Hamilton Facility

The primary delivery mode is instructor-led, in-person training at CLARK's Hamilton facility. Participants in Hamilton-based cohorts can observe live process demonstrations, handle reference samples, and engage with instructors who work in or directly alongside the manufacturing operation.

Cohort sizes are intentionally kept small. Standard public cohorts are capped at 16 participants. Private cohorts for corporate clients may be structured differently depending on the curriculum level and client requirements, but the default ceiling is 20 participants per instructor to preserve discussion quality and hands-on engagement.

### Partner Venue Delivery

Clark Courses can be delivered at partner venues — client facilities, technical colleges, conference centers, or regional training hubs. Partner venue delivery is appropriate for private corporate cohorts where participants cannot travel to Hamilton, or for licensed delivery partners who have their own facilities. For partner venue delivery, Clark Courses provides a delivery kit that includes reference materials, sample boards and components, and instructor guides. Hands-on content is adapted to what can be transported and set up in a generic training environment.

### Online and Asynchronous Delivery

Online and asynchronous delivery formats are on the development roadmap. The intent is to offer self-paced versions of Foundations-level content (CC-L1 series) through the Clarkware platform, with instructor-facilitated cohort sessions available as an upgrade. Professional Practice and Advanced Topics levels will remain primarily instructor-led due to their reliance on discussion, case analysis, and hands-on components.

### Instructor Model

Clark Courses instruction is delivered by CLARK personnel with direct manufacturing experience supplemented by external subject matter experts for specialized Advanced Topics modules. The instructor model is not exclusively dependent on CLARK staff — a train-the-trainer pathway is available for licensed delivery partners who want to develop in-house instructional capacity for Foundations and Professional Practice content. Instructors completing the train-the-trainer pathway receive certification to deliver Clark Courses curriculum under license, subject to periodic recertification and curriculum alignment reviews.

## 4. Revenue Model

Clark Courses operates four commercial models, which can be combined depending on the client relationship.

### Per-Seat Public Cohorts

Public cohorts are scheduled on a fixed calendar and open to individual enrollment. Pricing is per seat per course. Foundations-level courses are priced to be accessible to individuals paying out of pocket or with modest employer support. Professional Practice and Advanced Topics courses are priced for employer-sponsored enrollment. Public cohort revenue is the baseline operating revenue for the Clark Courses program.

### Private Cohort Licensing for EMS and OEM Clients

EMS and OEM clients with workforce training needs can license private cohort delivery — CLARK delivers a designated curriculum package exclusively to the client's employees, at the client's facility or in Hamilton, on a schedule agreed in advance. Private cohort licensing includes curriculum customization options: clients can request that case studies, defect examples, and process references be drawn from their own product types or quality history where appropriate. Private cohort agreements are typically structured as annual contracts covering a defined number of delivery days.

### Curriculum Licensing to Technical Colleges and Workforce Programs

Technical colleges, community colleges, apprenticeship programs, and workforce development organizations can license Clark Courses curriculum for integration into their own programs. Curriculum licensing agreements include instructor training, delivery materials, and a defined review and update cycle. This model allows Clark Courses to achieve geographic and enrollment scale beyond what direct CLARK delivery can support, while generating ongoing licensing revenue and extending CLARK's professional reputation into institutional education networks.

### Corporate Subscription Model

For larger employers who want ongoing access to Clark Courses content across a workforce, a corporate subscription model provides unlimited seat access to Foundations content, a defined number of Professional Practice cohort seats per year, and discounted Advanced Topics enrollment. Corporate subscriptions are structured as annual agreements and are intended for clients with continuous hiring and onboarding activity — EMS contract manufacturers, OEMs with in-house assembly operations, and large-scale rework and repair operations.

## 5. Relationship to IPC Training

CLARK delivers IPC certification training — CIS (Certified IPC Specialist), CQE (Certified Quality Executive), and CSE (Certified Soldering Executive) pathways — through an EPTAC partnership. Clark Courses and IPC certification training are complementary, not competitive. Understanding the distinction between the two is important for how Clark Courses is positioned to potential clients and participants.

**IPC certification** is a credentials framework. Clark Courses explicitly recommends IPC certification to its participants and makes the EPTAC pathway visible in all relevant course materials. It covers the industry's structure, scale, and economic logic; the anatomy and fabrication of the printed circuit board; the taxonomy of components; the end-to-end assembly process; and the purpose and structure of quality standards frameworks, with IPC as the primary example. Foundations courses are designed to be accessible to participants with no prior electronics manufacturing experience. They assume general technical literacy — an ability to read a diagram, follow a process description, and engage with technical vocabulary — but not specialized knowledge. Foundations content is the recommended entry point for technicians, career changers, and managers from adjacent industries.

### Level 2 — Professional Practice

The Professional Practice level (CC-L2 series, six courses) develops working knowledge of the processes, disciplines, and business contexts that electronics manufacturing professionals encounter in their day-to-day roles. It covers SMT assembly in depth, through-hole and mixed-technology processes, the full inspection and test spectrum, supply chain and BOM management, the distinct demands of key industry verticals, and the new product introduction process. Professional Practice courses are designed for participants who are working in or transitioning into active roles in electronics manufacturing. They assume Foundations-level knowledge or equivalent industry experience. This level is particularly relevant for process engineers, quality engineers, NPI engineers, program managers, and supply chain personnel.

### Level 3 — Advanced Topics

The Advanced Topics level (CC-L3 series, five courses) addresses the specialized knowledge demands of high-reliability manufacturing, complex packaging technologies, regulatory and compliance frameworks, embedded systems in a manufacturing context, and the development and delivery of structured training programs.
