# Assembly Services

## Purpose

This document defines assembly services as a CLARK-enabled network service delivered by regional specialist facilities.

The goal is to frame the offer clearly enough that CLARK can discuss it with prospective node partners, operators, and investors without slipping into the story of a centralized contract manufacturer.

## Core Position

Assembly services are not intended to make CLARK a generic mass-scale EMS operator.

Instead, CLARK should help regional partner facilities deliver stronger small-batch PCB and PCBA assembly by giving them enhanced resources at the workbench and facility level.

Those enhanced resources should include:

- training and workforce-development support
- Clarkware and related workstation tooling
- process standards and documentation
- quality systems and reporting support
- node onboarding and operating guidance
- selective capital and network-development support

## Service Definition

Assembly services should mean partner-facility-delivered electronics assembly performed under a CLARK-enabled operating environment.

The most important early service attributes are:

- low-volume, high-mix work
- quality-sensitive work with clear documentation needs
- programs that benefit from tighter reporting and coordination
- work where regional responsiveness matters more than lowest-cost volume production

## Delivery Model

Regional specialist facilities carry out the actual assembly work.

CLARK's role is to improve delivery quality, consistency, and credibility by supplying the shared systems around that work.

The intended division of responsibility is:

- partner facility: quoting, staffing, equipment operation, day-to-day production execution, local quality discipline, and delivery
- CLARK: enablement, standards, training, software, node support, shared reporting patterns, and strategic customer-development support

This model should preserve local operator strength while still making CLARK economically valuable as the platform layer.

## What CLARK Contributes

### 1. Workforce Readiness

CLARK can improve partner-facility readiness through IPC pathways, train-the-trainer support, and Clark Courses that strengthen manufacturing literacy and execution discipline.

### 2. Workbench And Facility Tooling

Clarkware should eventually improve how facilities capture notes, evidence, handoffs, issues, and reporting around real assembly work.

### 3. Operating Standards

CLARK should define reusable process documentation, reporting expectations, and minimum operating patterns that make node performance more understandable and repeatable.

### 4. Customer Confidence

A strong network identity, clearer documentation, and better operating visibility should help partner facilities win work they might struggle to secure alone.

### 5. Node Launch Support

Where justified, CLARK may support facility evaluation, onboarding, launch planning, and selected capital or commercial support.

## Ideal Partner-Facility Profile

The strongest early assembly-service partners are likely to be facilities that already possess real operating capability and need enhancement rather than rescue.

Desired characteristics include:

- small-batch or high-mix electronics capability
- strong practical operator base
- willingness to adopt shared documentation and reporting standards
- need for stronger workforce development or pipeline support
- interest in firmware-sensitive or higher-trust work
- openness to CLARK software, quality, and operating overlays

## Customer Profile

The early assembly-service offer is best suited to customers that need:

- trusted regional electronics assembly
- low-volume or high-complexity production support
- better visibility into work status, evidence, and issues
- tighter coordination between manufacturing, testing, and firmware-sensitive activities

## First-Pass Service Scope

The early scope should stay narrow enough to remain believable.

Recommended initial scope:

- PCB and PCBA assembly support through partner facilities
- pilot and specialty production runs
- inspection, testing, and reporting support where partner capability exists
- issue capture and escalation discipline tied to real facility activity

The early scope should avoid grand claims about universal manufacturing coverage.

## Commercial Model

Assembly services should not initially be modeled as CLARK taking full manufacturing revenue on its own books.

A more credible first-pass structure is:

- partner facilities invoice or deliver the core assembly work
- CLARK earns platform value through onboarding, licensing, enablement, software, training, and selective coordination fees
- CLARK may also benefit through minority ownership where a node relationship includes equity participation

Potential CLARK revenue components include:

- node onboarding fees
- training and workforce-development fees
- Clarkware licensing or bundled node-license value
- process and operating-system licensing
- minority equity upside in selected nodes

## Readiness Requirements

Before CLARK should present assembly services aggressively, the network should be able to show:

- at least one credible partner-facility operating example
- a minimum operating-standard package
- a clear quality and reporting model
- a believable training and workforce support offer
- a clear statement of where CLARK's role ends and the facility's role begins

## What Still Needs Validation

- which assembly sub-segment should be the first commercial focus
- which partner-facility profile is the best first fit
- what service-level commitments CLARK can safely stand behind
- what fee structure is most practical across partner-operated nodes
- how much Clarkware must exist before it materially strengthens the assembly offer

## Risks

- over-claiming manufacturing control that CLARK does not directly hold
- onboarding partner facilities that resist shared operating standards
- promising visibility or reporting before the software and data discipline are real
- drifting into generic EMS language that weakens the differentiated network thesis

## Near-Term Priority

Assembly services are strategically important, but they should follow the training-first launch and the first Clarkware development and testing phase.
