# Hamilton Training Model

This document defines the current operating model for CLARK's first training facility in Hamilton.

## Purpose

The Hamilton Training Facility is CLARK's first direct training operation. It is intended to do three things at once:

- generate early revenue through IPC-related training
- upskill the local industrial workforce and near-graduation technical talent
- serve as the case study for a future training model that CLARK can expand and license elsewhere

## Physical Model

The training facility is expected to occupy a designated co-location footprint within Niagara Assembly's Hamilton site at the optimal site near Sector A.

The current working plan assumes a first-phase footprint of about `4,500 sq ft`, with a functional split across three portions:

- the front two portions are led and activated by CLARK for training, Clark Courses delivery, demonstration, and mixed teaching-and-testing use
- the back third is reserved for Niagara Assembly's specialized low-batch testing and flashing hub

The wider property also appears to include roughly `5,000 additional sq ft` on the main level that Niagara Assembly may independently attempt to secure and rent. CLARK should currently treat that additional area as upside and future option value rather than as part of the guaranteed launch footprint.

## Operating Model

- Service delivery is owned and carried out directly by CLARK.
- CLARK is the primary brand from day one.
- Instructors are expected to be contracted by CLARK rather than hired as a large permanent in-house staff at the outset.
- The initial operating emphasis is on training trainers and delivering intensive multi-course coverage across the core IPC foundation.

## Initial Training Bundle

The first training bundle should center on the following courses and credentials:

- IPC-A-610 Certified IPC Specialist (CIS)
- IPC-A-610 Certified Standards Expert (CSE)
- Hand Soldering Certification
- EPTAC Hands-on Cable and Wire Harness Lab
- IPC-A-610 Certified IPC Trainer (CIT)

The CIT path should be aimed more directly at professionals with meaningful prior work experience who want to transition into training, add an instructional dimension to their career, or become internal capability leaders inside regional firms.

## Clark Courses And Wraparound Curriculum

In addition to formal IPC credentials, CLARK should develop its own modular wraparound curriculum. These Clark Courses should not be treated as lightweight orientation sessions. They should be rigorous, challenging, and designed to produce outcomes that students, employers, and academic partners can respect.

The practical purpose of these modules is to:

- teach how boards are built, inspected, and qualified
- build broader manufacturing literacy around electronics production and quality systems
- support participants who are interested in the field but are not yet certain which specialization path fits them
- create an intake and progression mechanism that complements formal IPC certification paths

These modules should be delivered alongside IPC training in a modular way so CLARK can adapt to participants with different baseline knowledge and different target outcomes.

## Branding Model

Graduates of IPC courses should be described plainly as IPC-certified. CLARK should not blur or replace the IPC credential. However, CLARK can separately brand completion of its own wraparound curriculum through the designation Clark Certified. The important point is that CLARK's proprietary training layer should stand on its own while remaining clearly complementary to IPC certification.

CLARK should develop a verifiable and shareable achievement record for these outcomes by the end of year 1. The default path should be conventional digital issuance and verification first, with blockchain-backed anchoring treated only as an optional later enhancement if it solves a real trust or portability problem.

## Commercial Relationship With Niagara Assembly

- Niagara Assembly provides the host footprint.
- CLARK is expected to lead the charge in renovating and activating the front two portions of the first `4,500 sq ft` co-location footprint.
- Niagara Assembly reserves the back third of that footprint for its specialized low-batch testing and flashing hub.
- Niagara Assembly is expected to charge CLARK nominal rent and equipment-use fees.
- The early-stage commercial model should use a hybrid structure that combines fixed fees calibrated to course volume with a revenue-sharing component calculated after direct instructional costs.
- The goal in the beta phase is operational simplicity rather than an optimized internal transfer model.

### Working Beta Economics

The current working assumption for the Hamilton beta period is:

- 1 to 2 delivered courses per month: CAD 1,250 fixed monthly facility fee plus 12% of contribution margin after direct instructional costs
- 3 to 4 delivered courses per month: CAD 2,500 fixed monthly facility fee plus 10% of contribution margin after direct instructional costs
- 5 or more delivered courses per month: CAD 4,000 fixed monthly facility fee plus 8% of contribution margin after direct instructional costs

For this purpose, direct instructional costs should include:

- instructor compensation
- instructor travel and lodging where applicable
- course-specific consumables and training materials
- third-party certification or course-delivery fees directly tied to the delivered class

General CLARK overhead, business development expense, curriculum development, and broader platform costs should not be deducted before the revenue-share calculation. The intent is to give Niagara Assembly a simple, auditable participation in facility use without turning the beta model into a disputed cost-allocation exercise.

## Governance And Quality Control

- CLARK controls training standards.
- The training facility is part of CLARK's Training Division.
- During the beta phase, CLARK should coordinate an Advisory Group to guide the model.

### Advisory Group Candidates

- Regional university representatives
- EPTAC representation if available
- Local industry participants as needed

### Advisory Group Role

The Advisory Group should not have formal review authority over CLARK operations. It should function more like a working group:

- receive monthly updates
- convene quarterly to refine the approach
- provide outside perspective on curriculum fit, labor-market relevance, and ecosystem alignment

CLARK should retain operational and standards control.

## Strategic Positioning

The Hamilton site should be positioned as a broader regional workforce center, not merely as an internal training arm for Niagara Assembly. Niagara Assembly is expected to be the prime beneficiary, but the training center should also serve:

- employees of existing regional companies who need upskilling
- students at nearby universities and colleges who want deeper practical capability before graduation

The first-year audience priority is a deliberate mix of those groups rather than a narrow single-audience push.

## Division Model

CLARK's Training Division is intended to become the first example of a divisional operating model that can later be replicated in other parts of the company, such as:

- Software Division
- Transport Division

The management philosophy is that each division should be as self-sufficient as possible and empowered to make critical decisions within its own management team instead of routing routine decisions upward to the C-suite and Board.

## Responsibilities

### CLARK

- Owns service delivery
- Owns brand and training standards
- Contracts instructors
- Carries instructor liability
- Operates the Training Division
- Develops the model for replication and later licensing
- Designs and delivers Clark Courses alongside IPC pathways

### Niagara Assembly / Facility

- Hosts the designated training footprint
- Shares facility and equipment access under agreed terms
- Carries responsibility for trainee injury and equipment damage at the facility level
- Benefits directly from trained talent and local workforce development

### Shared Or Split Responsibilities

- Compliance obligations should be split by function and documented contractually.
- Niagara Assembly should own facility safety and site procedures.
- CLARK should own instructor and training-process compliance.
- CLARK and Niagara Assembly should document the operating boundary between the CLARK-led teaching and demonstration portions of the space and the Niagara Assembly testing-and-flashing portion.
- Shared-space rules and operating procedures still need contractual definition.
- Insurance coordination needs to be explicit even where primary responsibility is allocated to one party.

## First 12-Month Priorities

1. Generate early revenue through IPC-related training.
2. Build direct workforce capability for Niagara Assembly and the surrounding region.
3. Deliver a rigorous mix of IPC credentials and Clark Courses that can serve both committed participants and serious exploratory entrants.
4. Establish a repeatable operating template for future CLARK training expansions.
5. Prove that the model is replicable enough to support future licensing and division-level growth.
